Sanctions Limitations

The professional indemnity insurance does not provide cover or is liable to pay any claim or provide any benefit to the extent that the provision of such cover, payment of such claim or provision of such benefit would expose the insurer to any sanction, prohibition or restriction under United Nations’ resolutions or the trade or economic sanctions, laws or regulations of the European Union, United Kingdom or United States of America.

United States of America and Canada Conditions Clause

Any Claim made or legal proceedings made within the United States of America and/or Canada and/or territories which come under the jurisdiction of the United States of America and/or Canada including the enforcement by courts of any other country of any judgement originally obtained in any court of the United States of America and/or Canada and/or territories which come under the jurisdiction of the United States of America and/or Canada shall be subject to the following Conditions and Exclusions:

Conditions

• The maximum amount payable in respect of all Claims made shall not exceed in the aggregate the Limit of Liability

• Any costs and expenses incurred during the investigation, defence and settlement of any Claims shall be included within the aggregate Limit of Liability and Excess

Exclusions

The professional indemnity insurance shall not apply to:

• Any punitive and/or exemplary damages awarded against the Insured

• Claims based upon the Employment Retirement Income Security Act of 1974 and any amendment thereto, or any rules or regulations promulgated thereunder.

• Claims arising out of any actual or alleged violations of the Racketeer Influenced and Corrupt Organisation Act 18 USC Sections 1961 et seq and any amendments thereto, or any rules and regulations promulgated thereunder.

• Claims arising out of actual or alleged violation of any of the provisions of the Securities Act of 1933, the Securities Exchange Act 1934 or any similar Federal or State law or any common law relating thereto.

• Claims arising out of seepage, pollution and/or contamination howsoever caused. Subject otherwise to all other terms, conditions, exclusions and limitations of this insurance policy.
